These Terms of Service (“Terms”) govern your access to and use of the Acquidex website, applications, and services (“Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Who We Are

Acquidex is an information and analytics platform for evaluating small business acquisitions. We provide data, tools, and directional insights. We do not provide investment, legal, accounting, or tax advice.

2. Eligibility

You may use the Services only if you (a) are at least the age of majority in your place of residence (typically 18 years old, but it may be higher in certain jurisdictions), (b) have the legal capacity to enter into a binding contract under the laws that apply to you, and (c) are not prohibited by applicable law from using the Services. If you are under the age of 18 (or the age of majority where you live), you may use the Services only with the involvement and consent of a parent or legal guardian.

3. Accounts

  • You are responsible for all activity that occurs under your account.
  • You must provide accurate, complete information when creating an account.
  • Notify us immediately at avery@acquidex.com if you suspect unauthorized use.

4. Acceptable Use

  • No scraping, reverse engineering, or circumventing access controls.
  • No uploading malicious code, spam, or unlawful content.
  • No using the Services for unlawful purposes or misrepresenting information.

5. Paid Services & Subscriptions

  • Fees are due in advance and are non-refundable unless required by law.
  • We may change pricing with reasonable prior notice.
  • Failure to pay may result in suspension or termination of access.

6. No Professional Advice

The Services, including all data, metrics, and insights, are provided solely for general informational purposes. All outputs are directional estimates, not verified facts. They are not a substitute for professional due diligence, investment research, or legal and tax review. You are solely responsible for any decisions you make, and you must conduct your own independent due diligence before relying on any information.

7. Intellectual Property

All content, design, code, and data provided by Acquidex are owned by us or our licensors. You may not copy, modify, distribute, or create derivative works without our permission.

8. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not warrant the accuracy, completeness, timeliness, or reliability of any data or insights. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Acquidex and its officers, employees, and affiliates will not be liable for:

  • Any reliance placed on our data, insights, or Services;
  • Any indirect, incidental, consequential, special, or punitive damages;
  • Any loss of profits, revenues, goodwill, or data; or
  • Any damages arising from your failure to conduct full due diligence.

Your sole and exclusive remedy for dissatisfaction with the Services is to stop using them.

10. Termination

We may suspend or terminate your access if you violate these Terms or use the Services in a way that may cause harm.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or any related transactions shall be subject to the exclusive jurisdiction of the Tokyo District Court in Japan. Notwithstanding the foregoing, Acquidex may, at its sole discretion, require that disputes be finally resolved through binding arbitration under the Rules of the Japan Commercial Arbitration Association (JCAA) or the International Chamber of Commerce (ICC). The seat of arbitration shall be Tokyo, Japan, the proceedings shall be conducted in English, and the arbitral award shall be final and binding on the parties.

12. Changes

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
